Terms of Service.

Please read these Terms carefully. Section 19 contains a mandatory individual arbitration agreement and class-action waiver that affects how disputes between you and Hobbiest are resolved. By creating an account, accessing, or using the Platform, you agree to these Terms, our Privacy Policy, and any other policies referenced in these Terms or made available within the Platform.

Welcome to Hobbiest.ai. These Terms of Service ("Terms") form a binding legal agreement between you and Hobbiest Holdings, Inc., a Delaware corporation, together with its subsidiaries and affiliates (collectively, "Hobbiest," "we," "our," or "us"), and govern your access to and use of the Hobbiest.ai platform, including our mobile applications, websites, application programming interfaces, AI-assisted features, and all related software, services, and content (collectively, the "Platform" or "Services").

1. Eligibility.

You must be at least 18 years old to create an account or use the Platform. The Platform is not directed to and may not be used by individuals under 13 years old, and individuals aged 13 through 17 are not permitted to register or use any feature of the Platform.

By using the Platform, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding agreement;
• You are not barred from using the Platform under the laws of any applicable jurisdiction, and you are not on any U.S. government list of prohibited or restricted parties;
• All information you submit is accurate, current, and complete, and you will keep it accurate, current, and complete;
• Your use of the Platform will comply with these Terms, all applicable laws and regulations, and our Community Guidelines and Acceptable Use Policy.

2. The Platform.

Hobbiest.ai is a consumer technology platform that helps people discover hobbies and interests, build profiles centered on what they do (not just who they are), coordinate activities, and form community with other Hobbiest users ("Users"). The Platform may include AI-assisted personalization, matching, messaging, recommendations, content discovery, premium features (including AskGuru and Closet Goals), and other tools and content we make available from time to time.

We may modify, suspend, add, or discontinue features, content, or portions of the Platform at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation, except where prohibited by law.

3. Accounts and Registration.

To use most features of the Platform, you must register for an account ("Account"). You agree to provide accurate, current, and complete information during registration, to maintain that information, and to keep your password and authentication credentials confidential. You are responsible for all activity that occurs through your Account.

You agree not to:

• Create more than one Account except as expressly permitted by us;
• Create an Account on behalf of another person without authorization;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use false, misleading, or deceptive information in your profile or registration;
• Sell, transfer, license, or assign your Account, username, password, or any rights under these Terms.

You may delete your Account at any time from within the app (Settings → Account → Delete Account) or from the web at hobbiest.ai/delete-account. Deletion is processed in accordance with our Privacy Policy. Hobbiest may also suspend or terminate your Account as set out in Section 17.

4. User Content.

"User Content" means any content, materials, or information you submit, upload, post, transmit, send, display, or otherwise make available through the Platform — including profile information, photos, videos, audio, text, messages, reviews, hobby posts, Closet Goals submissions, AskGuru questions and answers, and any other information you provide.

4.1 Your Ownership; License to Us

You retain all ownership rights in your User Content. By submitting User Content to the Platform, you grant Hobbiest a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for technical purposes such as resizing or reformatting), distribute, publicly display, publicly perform, and create derivative works of your User Content, solely for the purposes of operating, providing, improving, promoting, and developing the Platform. This license continues for as long as you keep your User Content on the Platform and for a commercially reasonable period thereafter to permit backup, audit, and legal-compliance purposes.

4.2 Your Representations

You represent and warrant that: (a) you own your User Content or have all necessary rights and permissions to grant the license above; (b) your User Content does not and will not violate these Terms, our Acceptable Use Policy, our Community Guidelines, any third-party right (including any intellectual property, privacy, or publicity right), or any applicable law; and (c) you will obtain any necessary consents from individuals depicted or identified in your User Content before posting it.

4.3 Our Right to Remove

We may, but are not obligated to, monitor User Content. We may remove or restrict access to any User Content at our discretion, including content we believe in good faith violates these Terms, our policies, or applicable law, or that creates risk to Users, third parties, or Hobbiest. We are not a publisher of User Content and do not endorse any opinions or statements made by Users.

5. Acceptable Use.

Your use of the Platform is governed by these Terms, our Acceptable Use Policy, and our Community Guidelines, each incorporated by reference. Without limiting those policies, you agree not to:

• Harass, threaten, intimidate, bully, defame, stalk, or invade the privacy of any person;
• Engage in hate speech, discrimination, or content that promotes violence against, or dehumanizes, any person or group;
• Post sexually explicit content, content depicting minors in a sexual context, or content that exploits or endangers minors;
• Engage in fraud, deception, romance scams, phishing, financial solicitation, or commercial advertising not authorized by us;
• Distribute spam, chain messages, malicious code, viruses, or any technology that disrupts or harms the Platform;
• Scrape, crawl, harvest, or extract data from the Platform without our express written permission;
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform, except where this restriction is prohibited by applicable law;
• Use the Platform for any unlawful purpose, including violating sanctions, securities laws, or anti-money-laundering laws;
• Circumvent any access, security, rate-limiting, or content-moderation measure of the Platform.

6. Real-World Activities and Meetups.

Hobbiest is a platform for discovery and coordination. Some interactions facilitated through the Platform may lead to real-world meetings, classes, group activities, travel, athletic events, or other in-person engagements ("Real-World Activities"). YOU PARTICIPATE IN ANY REAL-WORLD ACTIVITY AT YOUR OWN RISK.

Hobbiest does not conduct criminal-background checks, identity verification beyond basic registration safeguards, or screening of Users prior to allowing them onto the Platform, except as expressly described in writing on the Platform. Users should not assume that any user has been background checked or verified unless specifically identified as verified within the Platform. You are solely responsible for your own safety, decisions, and judgment when communicating with other Users and when meeting other Users in person. Please see our Safety Policy for specific guidance and reporting mechanisms.

To the maximum extent permitted by law, Hobbiest is not liable for the conduct of any User, on or off the Platform, including any harm, injury, loss, or damage arising from a Real-World Activity.

7. AI-Assisted Features.

Certain features of the Platform — including matching, recommendations, content discovery, AskGuru responses, and other personalized experiences — may use artificial intelligence, machine learning, large language models, and automated decision-making systems ("AI Features").

AI Features are provided to assist and inspire, not to replace human judgment. AI Features may produce outputs that are inaccurate, incomplete, biased, out of date, or otherwise inappropriate. You should not rely on AI Features for medical, legal, financial, mental-health, safety-critical, or professional advice. You are responsible for evaluating any AI output before acting on it.

Where AI Features generate content that you may share, you remain responsible for that content under Section 4.2.

8. Premium Features and Subscriptions.

Some features of the Platform — including, without limitation, AskGuru and Closet Goals — may be made available only through paid subscriptions or other paid arrangements ("Premium Features"). Premium Features are subject to our Subscription & Billing Terms (incorporated by reference) and to the in-app purchase and billing terms of the applicable app store (Apple App Store or Google Play). By purchasing a subscription, you authorize Hobbiest (or the applicable app store) to charge your designated payment method on a recurring basis until you cancel.

9. Intellectual Property.

The Platform, including all software, technology, AI systems, databases, designs, user interfaces, trademarks, service marks, trade names, logos, branding, content (other than User Content), and all related intellectual property, are owned by Hobbiest Holdings, Inc. or its licensors and are protected by U.S. and international intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use. All rights not expressly granted are reserved.

You may not:

• Use any Hobbiest trademark, logo, branding, or domain name without our prior written authorization;
• Reproduce, copy, distribute, sell, resell, license, sublicense, lease, rent, or commercially exploit any portion of the Platform;
• Create derivative works of, or otherwise modify, the Platform or any of its content (other than your User Content);
• Access the Platform to build a competitive product or service, or to benchmark features, functions, or pricing.

10. Feedback.

If you submit feedback, suggestions, ideas, or other comments about the Platform ("Feedback"), you grant Hobbiest a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, modify, and commercialize that Feedback for any purpose, without compensation or obligation to you.

11. Third-Party Services.

The Platform may contain links, integrations, or references to third-party websites, applications, services, or content ("Third-Party Services"). Third-Party Services are governed by their own terms and privacy practices, and Hobbiest is not responsible for them. Your use of any Third-Party Service is at your own risk.

12. App Store Terms.

If you access the Platform through a mobile application obtained from a third-party store (such as the Apple App Store or Google Play Store), you also agree to the terms imposed by that store. The End User License Agreement set out elsewhere in this suite contains additional terms that apply when you obtain the Hobbiest application from the Apple App Store, including Apple's designation as a third-party beneficiary of these Terms with respect to the iOS application.

13. Disclaimers.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. HOBBIEST DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

Hobbiest does not warrant that the Platform will be uninterrupted, error-free, secure, or free of harmful components; that defects will be corrected; that recommendations, matches, or AI outputs will be accurate or suitable; or that interactions with other Users will be satisfactory or successful.

14. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL HOBBIEST OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HOBBIEST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

HOBBIEST'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO HOBBIEST IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. Indemnification.

You agree to defend, indemnify, and hold harmless Hobbiest Holdings, Inc., its affiliates, and their respective officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Platform; (c) your violation of these Terms or any policy referenced in them; (d) your violation of any law or third-party right; or (e) any Real-World Activity in which you participate. Hobbiest may, at its option, assume the exclusive defense and control of any matter otherwise subject to indemnification, in which case you agree to cooperate with our defense.

16. Privacy.

Your privacy is important to us. Our collection, use, and disclosure of information about you is described in our Privacy Policy, incorporated by reference into these Terms. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

17. Suspension and Termination.

We may suspend, restrict, or terminate your access to the Platform or any portion of it at any time, with or without notice and with or without cause, including if we reasonably believe that: (a) you have violated these Terms or any policy referenced in them; (b) you have created risk or legal exposure for Hobbiest, other Users, or third parties; (c) your conduct is harmful to the community or the integrity of the Platform; (d) your Account has been inactive for an extended period; or (e) we discontinue the Platform or a feature you have used. Upon termination, your right to access and use the Platform will immediately cease, and Sections that by their nature should survive termination will survive.

18. Modifications to the Terms.

We may update these Terms from time to time. We will post the updated Terms on the Platform and update the "Last Updated" date. For material changes, we will provide additional notice (for example, by email to the address associated with your Account or by in-app notification) at least thirty (30) days before the changes take effect, unless a shorter notice is required by law. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of them. If you do not agree to the updated Terms, you must stop using the Platform and may delete your Account at hobbiest.ai/delete-account.

19. Dispute Resolution; Arbitration; Class-Action Waiver.

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND HOBBIEST TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND LIMITS THE WAY YOU CAN SEEK RELIEF FROM HOBBIEST.

19.1 Informal Resolution

Before filing any claim, you and Hobbiest agree to try to resolve the dispute informally. You agree to first contact us at founder@hobbiest.ai with a brief written description of the dispute and your contact information, and to allow sixty (60) days for the parties to attempt to resolve the dispute before commencing any formal proceeding.

19.2 Binding Arbitration

If the dispute is not resolved within sixty (60) days, you and Hobbiest agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Platform — including their formation, validity, scope, interpretation, performance, or termination — will be resolved exclusively through final and binding individual arbitration administered by JAMS in accordance with its applicable rules, except as modified here. The arbitration will be conducted in English in Wilmington, Delaware or remotely at the arbitrator's discretion. The arbitrator's award is final and may be entered as a judgment in any court of competent jurisdiction.

19.3 Class-Action and Jury-Trial Waiver

YOU AND HOBBIEST AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY CLASS OR REPRESENTATIVE PROCEEDING. YOU AND HOBBIEST WAIVE ANY RIGHT TO A JURY TRIAL.

19.4 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small-claims court for claims within the scope of that court's jurisdiction, and either party may seek injunctive or equitable relief in court to protect intellectual property rights. Residents of jurisdictions that do not permit pre-dispute arbitration agreements or class-action waivers (including residents of the European Union and the United Kingdom) are not bound by Section 19.2 or 19.3 to the extent prohibited by local law.

19.5 Opt-Out

You may opt out of Section 19.2 and 19.3 by sending a written notice to founder@hobbiest.ai within thirty (30) days of first accepting these Terms, stating your name, your Account email, and that you are opting out of the arbitration provisions. Opting out will not affect any other provision of these Terms.

20. Governing Law and Venue.

These Terms and any dispute arising out of or relating to them or the Platform are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles, and, where applicable, the Federal Arbitration Act. Subject to Section 19, any claim that is not subject to arbitration must be brought exclusively in the state or federal courts located in Kent County, Delaware, and each party consents to the personal jurisdiction of those courts.

21. International Users.

The Platform is operated from the United States. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. Additional rights and disclosures for users in the European Union, the United Kingdom, Canada, and California are set out in our Privacy Policy.

22. General.

22.1 Entire Agreement

These Terms, together with the policies they incorporate by reference, constitute the entire agreement between you and Hobbiest regarding the Platform and supersede any prior or contemporaneous agreements or understandings.

22.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.

22.3 No Waiver

Our failure to enforce any provision is not a waiver of our right to do so later.

22.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign these Terms.

22.5 Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, pandemic, labor disturbance, interruption of telecommunications or internet services, or governmental action.

22.6 Notice

We may give you notices by email, in-app message, or by posting on the Platform. You may give us notice at founder@hobbiest.ai or by mail at 3500 South DuPont Highway, Dover, Delaware 19901.
